Welcome to Product Prodigy (the "Service"), provided via the website located at `https://productprodigy.io` (the "Website") and associated services, including "The Oracle Bot" accessible through Discord. These Terms of Service ("Terms") govern your access to and use of the Website, The Oracle Bot, and any related content, features, or services offered by Product Prodigy ("we", "us", or "our").
1. Acceptance of Terms
By accessing or using the Service, creating an account, making a purchase, or otherwise indicating your assent, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (`available here`), which is incorporated herein by reference. If you do not agree to these Terms or the Privacy Policy, you may not access or use the Service.
2. Description of Service
Product Prodigy provides users with access to tools and data related to product information and market analysis, primarily focused on Universal Product Codes (UPCs) and potential online arbitrage opportunities (initially focusing on Amazon). Key features include:
- Web Portal: Account management, purchasing memberships and credits, viewing account status.
- Discord Integration: Access requires linking a valid Discord account.
- The Oracle Bot: A Discord bot used to interact with our database and analysis tools via commands (e.g.,
!info,!balance,!upc,!search). Use of bot commands may consume credits. - Memberships: Subscription plans (Tier 1, Tier 2, Tier 3) offering varying levels of access, monthly credits, data export limits, and potentially other features like processing speed or AI capabilities.
- Credit Packs: One-time purchases of credits used to perform specific actions via The Oracle Bot (e.g., UPC lookups, exporting search results).
3. Eligibility and Account Registration
- Age: You must be at least 18 years old or the age of legal majority in your jurisdiction to purchase Memberships or Credits. If you are between 13 and 18 years old (or the age of majority), you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms.
- Discord Account: Use of the Service requires a valid Discord account. You are responsible for maintaining the security of your Discord account. You agree to link your Discord account via the OAuth process provided on our Website to access member features and use The Oracle Bot.
- Accuracy: You agree to provide accurate, current, and complete information during the registration/login process and to update such information to keep it accurate, current, and complete.
- Responsibility: You are solely responsible for all activities that occur under your linked Discord account in relation to our Service.
4. Payments, Subscriptions, and Credits
- Payment Processing: All payments for Memberships and Credits are processed through our third-party payment processor, Paddle (paddle.com). By making a purchase, you agree to Paddle's terms of service and privacy policy. We do not store your full credit card information.
- Memberships (Subscriptions):
- Memberships are offered on a recurring monthly basis.
- By subscribing, you authorize us (through Paddle) to charge your chosen payment method the applicable subscription fee automatically each month until you cancel.
- Subscription fees are billed in advance on the first day of your billing cycle.
- We reserve the right to change subscription fees upon reasonable notice (e.g., posting on the Website or email notification).
- Credits:
- Credits can be purchased as one-time packs (requires an active membership) or are included with monthly Memberships.
- Credits are consumed when using specific features of The Oracle Bot, such as
!upclookups or exporting!searchresults, as described on the Website and potentially within the bot's responses. The cost per action may vary and will be communicated by the bot or on the Website. - Credits are non-refundable, non-transferable, and have no cash value.
- Unused credits associated with an active account or membership do not expire. However, credits may be forfeited upon account termination or suspension as outlined in Section 8.
- Cancellations:
- You may cancel your recurring Membership subscription at any time through your Paddle account management interface or, if available, through your account settings on our Website.
- Cancellation will be effective at the end of your current billing period. You will retain access to membership benefits until the end of that period.
- No pro-rata refunds will be issued for cancellations made part-way through a billing cycle.
- Refunds:
- Generally, all payments for Memberships and Credits are final and non-refundable.
- We do not provide refunds or credits for partially used subscription periods or unused credits, except as explicitly stated in these Terms or as required by applicable law.
- If you believe you have been charged in error, please contact us at

- Taxes: You are responsible for any applicable taxes associated with your purchases.
5. User Conduct and Use Restrictions
You agree not to use the Service for any purpose that is unlawful or prohibited by these Terms, or any other purpose not reasonably intended by Product Prodigy. You agree not to:
- Violate any applicable local, state, national, or international law or regulation.
- Abuse, harass, threaten, impersonate, or intimidate anyone.
- Post or transmit, or cause to be posted or transmitted, any content that is infringing, libelous, defamatory, obscene, pornographic, abusive, offensive, or otherwise violates any law or right of any third party.
- Use the Service for any unauthorized commercial purpose.
- Interfere or attempt to interfere with the proper working of the Service or any activities conducted on the Service.
- Bypass, circumvent, or attempt to bypass or circumvent any measures we may use to prevent or restrict access to the Service, including robot exclusion headers.
- Scrape, crawl, or use any automated means (bots, spiders, etc.) to access or collect data from the Website itself (interaction with The Oracle Bot via Discord commands is permitted according to its intended use and credit costs).
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Website or The Oracle Bot.
- Sell, transfer, or sublicense your access to the Service, your Membership, or your Credits to any other party.
- Share your account credentials or allow others to use the Service via your linked Discord account.
6. Intellectual Property Rights
The Service and its original content (excluding data provided by users), features, functionality, look and feel, and underlying technology (including the Website and The Oracle Bot) are and will remain the exclusive property of Product Prodigy and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal or internal business purposes as intended through the provided functionality.
7. Privacy Policy
Your privacy is important to us. Please review our Privacy Policy at https://productprodigy.io/privacy for information on how we collect, use, and disclose information about you. By using the Service, you consent to our collection and use of personal data as outlined therein.
8. Termination
- By You: You may terminate your agreement to these Terms by cancelling your Membership (if applicable) and ceasing all use of the Service.
- By Us: We may suspend or terminate your access to all or any part of the Service at any time, with or without cause, with or without notice, effective immediately, if we believe, in our sole discretion, that you have violated these Terms or engaged in conduct that is harmful to us, other users, or third parties. Reasons for termination may include, but are not limited to, non-payment of fees, violation of user conduct rules, or extended inactivity.
- Effect of Termination: Upon termination, your right to use the Service will immediately cease. Any outstanding subscription fees become immediately due. You will lose access to membership benefits and any remaining credits may be forfeited. We may delete your account information and data associated with your use of the Service, subject to legal requirements and our Privacy Policy. Sections concerning Payments (outstanding fees), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, Dispute Resolution, and Miscellaneous shall survive termination.
9. Third-Party Services and Links
The Service relies on and may contain links to third-party websites or services that are not owned or controlled by Product Prodigy, including Discord and Paddle. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit or interact with.
10. Disclaimers of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (D) THE RESULTS OF USING THE SERVICE (INCLUDING ANY DATA OR ANALYSIS PROVIDED) WILL MEET YOUR REQUIREMENTS OR BE ACCURATE, RELIABLE, COMPLETE, OR CURRENT. DATA PROVIDED THROUGH THE SERVICE, INCLUDING UPC INFORMATION AND MARKET ANALYSIS, MAY CONTAIN INACCURACIES OR ERRORS, AND YOU RELY ON SUCH INFORMATION AT YOUR OWN RISK.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRODUCT PRODIGY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OR DATA OBTAINED FROM THE SERVICE; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to defend, indemnify, and hold harmless Product Prodigy, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, any use of the Service's content, services, and products other than as expressly authorized in these Terms or your use of any information obtained from the Service.
13. Modifications to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect, such as by posting the updated Terms on the Website or sending an email notification. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service. It is your responsibility to check these Terms periodically for changes.
14. Governing Law and Dispute Resolution
- Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law provisions.
- Informal Resolution: We want to address your concerns without needing a formal legal case. Before filing a claim against Product Prodigy, you agree to try to resolve the dispute informally by contacting us at
contact@productprodigy.io. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or we may bring a formal proceeding. - Arbitration: You and Product Prodigy agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below. The American Arbitration Association (AAA) will administer the arbitration under its Commercial Arbitration Rules. The arbitration will be held in Lane County, Oregon, or any other location we agree to.
- Exceptions to Agreement to Arbitrate: Either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Service, or intellectual property infringement (for example, trademark, trade secret, copyright, or patent rights) without first engaging in arbitration or the informal dispute-resolution process described above. Either party may also assert claims, if they qualify, in small claims court in Lane County, Oregon.
- No Class Actions: You may only resolve disputes with us on an individual basis, and may not bring a claim as a plaintiff or a class member in a class, consolidated, or representative action. Class arbitrations, class actions, private attorney general actions, and consolidation with other arbitrations are not allowed.
15. Miscellaneous
- Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Product Prodigy regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
- Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
- Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
- Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without restriction.
- Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
